아시아나항공 미래, 다시 안개 속으로

The acquisition of Asiana Airlines by Hyundai Development Company (HDC) is apparently falling apart, nine months after the latter signed a stock purchase agreement for the takeover with the airline's parent company Kumho Industrial.

현대산업개발(HDC)이 아시아나항공 모기업인 금호산업과 인수를 위한 주식매매계약(SPA)을 체결한 지 9개월 만에 아시아나항공 인수가 무산되는 모양새다.

HDC is reported to have notified creditors led by the Korea Development Bank (KDB) this week that it considers it necessary for Asiana to undergo a 12-week due diligence.

HDC는 이번 주 산업은행(KDB)이 이끄는 채권단에 아시아나항공이 12주간의 실사를 거칠 필요가 있다고 판단한다고 통보한 것으로 알려졌다.

This comes after HDC Chairman Chung Mong-kyu and KDB Chairman Lee Dong-gull met for a third time Aug. 26 for a possible breakthrough in the deal.

이는 정몽규 HDC 회장과 이동걸 산업은행 회장이 8월 26일 세 번째로 만나 이 협정의 돌파구를 마련한 데 따른 것이다.

HDC signed the stock purchase agreement in December, but the eruption of the COVID-19 pandemic earlier this year changed the circumstances for the aviation industry.

HDC는 지난해 12월 주식매매계약을 체결했지만, 올해 초 코로나19 대유행 사태가 터지면서 항공업계의 상황이 달라졌다.

HDC accordingly has been requesting a second round of inspections on Asiana to look into its financial condition.

이에 따라 HDC는 아시아나항공의 재무상태 조사를 위해 재실사를 요청해 왔다.

Creditors refused this request, instead offering to make concessions on the acquisition conditions. This kept the situation in deadlock for months.

채권단은 이 요청을 거절하고 대신 인수조건에 대해 양보를 제의했다. 이 때문에 인수는 몇 달째 교착 상태에 빠졌다.

In the meeting between the chiefs of HDC and KDB last week, Lee is reported to have offered to reduce the cost of HDC's acquisition by 1 trillion won to prompt the company to follow through with the deal.

이동걸 산업은행 회장은 지난주 정몽규 HDC 회장과의 양측 회장단 회동에서 이 계약을 이행하도록 유도하기 위해 HDC의 인수 비용을 1조원 낮춰 제안한 것으로 알려졌다.

Chung did not respond immediately to the offer at the meeting, but HDC is reported to have contacted creditors earlier this week, insisting on the due diligence on the airline.

정 회장은 이날 회동에서 이 같은 제안에 즉각 응하지 않았지만, HDC는 이번 주 초 아시아나항공에 대한 실사를 주장하며 채권단과 접촉한 것으로 알려졌다.

Any possibility of the deal being saved had depended on HDC's response, but given the two sides still remain poles apart, the deal seems set to fall apart.

거래가 성사될 가능성은 HDC의 응답에 달렸지만, 양측의 입장이 여전히 극명하게 엇갈리고 있는 점을 감안하면 협상이 결렬될 것으로 전망된다.

Plan B was for creditors to inject part of a 40 trillion won government relief package for key industries to keep Asiana afloat.

플랜B는 채권단이 아시아나항공을 유지하기 위해 정부의 40조원 규모 기간산업안정기금(기안기금) 일부를 투입하는 것이다.

The committee on the government relief funds needs to discuss how this will be done. This is also set to affect Asiana's budget carrier affiliates.

기안기금운용심의회는 이 같은 자금 투입 여부를 위해 회의를 열어야 한다. 이는 아시아나항공의 저가항공 계열사(에어부산, 에어서울)에도 영향을 미칠 것으로 보인다.

"The committee on the government relief funds for key industries held a meeting Thursday, but no conclusion was reached," a KDB official said Friday.

산은 관계자는 "기안기금운용심의회가 목요일 회의를 열었지만, 결론이 나지 않았다"고 금요일 밝혔다.

Discussions will likely continue next week.

다음 주에도 논의가 이어질 것으로 보인다.
